MEDIATION AND ARBITRATION

The mediator shall be a retired judge or an attorney of ten (10) years or more of experience. If the parties cannot agree upon a mediator, the parties shall ask the American Arbitration Association to appoint a mediator. If the mediation is unsuccessful, then the dispute shall be submitted to final binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Texas law. The Arbitration shall be held in San Antonio, Texas. The arbitrator shall be a retired judge or an attorney of ten (10) years or more of experience. If the parties cannot agree upon an arbitrator, the parties shall ask the American Arbitration Association to appoint an arbitrator. During the arbitration, the parties shall each pay their share of the expenses and fees of the arbitrator. The arbitrator shall be entitled to award attorney’s fees and costs in such amounts and in such proportions as the arbitrator determines. The decision of the arbitrator shall be final and binding and judgment thereon may be entered in any court with jurisdiction.
WAIVER AND SEVERABILITY
No waiver by Pro-Vigil of any term or condition set out in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Pro-Vigil to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of these Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms and Conditions will continue in full force and effect.
